These Terms and Conditions ("Terms") govern your access to and use of the website located at www.simpletechskills.com (the "Website"), and all related content, services, products, courses, coaching sessions, mentorship, resources, workshops, and consulting provided by Simple Tech Skills, operated by Jonathan Acuna ("Company," "we," "us," or "our").

By accessing the Website, registering for an account, purchasing or using any of our services or products ("Services"), you ("User," "you," "your") agree to be bound by these Terms and our Privacy Policy (https://simpletechskills.com/privacy/), which is incorporated herein by reference. If you do not agree to all of these Terms, you must not access the Website or use our Services.

Description of Services
Simple Tech Skills provides an online community and platform offering educational and training services focused on AI strategy for entrepreneurs and businesses. This includes, but is not limited to, access to online courses, group coaching sessions, mentorship programs, digital resources, workshops, community forums, and one-on-one consulting (collectively, the "Services"). All Services are provided for educational and informational purposes only.

Eligibility

You must be at least 18 years old to use our Services. By agreeing to these Terms, you represent and warrant that you are of legal age to form a binding contract with the Company and meet all eligibility requirements.

Account Registration and Security
To access certain Services (like courses or community forums), you may need to register for an account. You agree to:
a. Provide accurate, current, and complete information during registration.
b. Maintain the security of your password and identification.
c. Notify us immediately of any unauthorized use of your account.
d. Accept full responsibility for all activities that occur under your account.

Fees, Payments, and Subscriptions
a. Payment Obligation: You agree to pay all applicable fees for the Services you purchase, as described on the Website at the time of purchase.
b. Payment Information: You agree to provide current, complete, and accurate purchase and account information. You authorize us (and our third-party payment processors) to charge your selected payment method for all sums due.
c. Recurring Billing (Memberships): Monthly or other periodic memberships will automatically renew at the end of each billing cycle unless cancelled by you in accordance with Section 5. You authorize us to charge your payment method for the renewal term.
d. Failed Payments: If your payment method fails or your account is past due, we reserve the right to suspend or terminate your access to the Services without notice. You remain responsible for all unpaid fees. Non-payment does not constitute cancellation.
e. Price Changes: We reserve the right to change our prices and fees at any time. Price changes for existing subscriptions will take effect upon the renewal of your subscription, following reasonable notice provided to you (e.g., via email or website posting).

Membership, Cancellation, and Refund Policy
a. Trial Period: We offer a 14-day trial period for all membership plans, starting from your initial signup date.
b. Cancellation: You may cancel your recurring membership at any time by accessing your account settings on the Website or by emailing our support team at hello@simpletechskills.com.
c. Cancellation Timing: To avoid being charged for the next billing cycle, cancellation requests must be received at least seventy-two (72) hours prior to your scheduled renewal date.
d. Refunds:
i. Trial Period Refunds: If you cancel your membership within the 14-day trial period (where applicable), you are eligible for a full refund of the initial membership fee paid. Refund requests must be made via email to hello@simpletechskills.com within the 14-day period.
ii. No Refunds Post-Trial: Except as explicitly stated for the 14-day trial, no refunds will be issued for any membership fees after the 14-day trial period has expired.
iii. Other Services: Fees for one-on-one consulting, workshops, or other non-subscription services are generally non-refundable once purchased or rendered, unless otherwise specified in a separate agreement for that specific service.
iv. Effect of Cancellation: Upon cancellation, your access to membership-specific content and community areas will cease at the end of your current paid billing cycle.

Intellectual Property Rights
a. Ownership: All content provided through the Website and Services, including but not limited to text, graphics, logos, images, videos, course materials, templates, worksheets, presentations, and software (collectively, "Content"), is the intellectual property of the Company or its licensors and is protected by copyright, trademark, and other intellectual property laws.
b. Limited License: Upon purchase or registration, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Content solely for your personal, non-commercial, educational purposes, subject to these Terms.
c. Restrictions: You expressly agree not to:
i. Reproduce, duplicate, copy, sell, resell, distribute, or exploit any portion of the Service, Content, or access to the Service for any commercial purpose.
ii. Share your login credentials or access to the Services or Content with any third party.
iii. Create derivative works based upon the Content.
iv. Engage in any data mining, scraping, or similar data gathering or extraction methods.
d. Prohibition: Any duplication, reproduction, or distribution of the Company's Content is strictly prohibited without our express prior written permission. All rights not expressly granted herein are reserved by the Company.

User Conduct and Community Guidelines
You agree to use the Services, including any community forums or interaction features, responsibly and ethically. You agree not to:
a. Post or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
b. Harass, stalk, or otherwise abuse another user or Company staff.
c. Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity.
d. Post unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation.
e. Violate any applicable local, state, national, or international law.
f. Engage in any conduct that restricts or inhibits any other user from using or enjoying the Services.
g. Attempt to gain unauthorized access to any portion of the Website or Services.

We reserve the right, but have no obligation, to monitor user interactions and content. We reserve the right to remove or ban any member from the community, Services, or forums, without warning and without refund, for violating these Terms, particularly sections concerning harassment, disrespectful behavior, negative or disruptive conduct, or intellectual property infringement.

The arbitration shall be administered by the American Arbitration Association (AAA) pursuant to its Consumer Arbitration Rules (or Commercial Arbitration Rules, if applicable). Judgment on the award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.
c. No Class Actions: YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST THE COMPANY ONLY IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
d. Informal Resolution: We encourage you to contact us first at hello@simpletechskills.com to seek a resolution for any dispute before resorting to arbitration.

Modifications to Terms
We reserve the right, in our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide reasonable notice prior to any new terms taking effect (e.g., via email or a notice on the Website). What constitutes a material change will be determined at our sole discretion. Severability: If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
c. No Waiver: No waiver by the Company of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
d. Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void. We may freely assign or transfer these Terms without restriction.
